Terms of Sale

This agreement sets out the general framework of the relationship

between a customer requesting a transfer through the Antalion platform

and the independent driver providing that service. (Template text —

the final legal text should not be published before review by

qualified counsel.)


1. Parties and the Role of the Platform

Antalion is not a travel agency. Antalion is a marketplace/software

platform that connects a customer requesting a transfer with

independent, licensed transport companies/drivers who submit offers.

The transport service contract is formed directly between the customer

and the driver; Antalion is not a party to that contract and is not

responsible for the performance of the transport service itself.


2. Price and Payment

The final transfer fee is the offer submitted by the driver during the

open-bid process and accepted by the customer. Payment is collected in

full by the customer through Antalion's payment infrastructure (iyzico

Pazaryeri/Marketplace) the moment the offer is accepted, and is held in

a protected pool until the transfer is completed; no additional cash or

card payment is made to the driver in the vehicle. Once the transfer is

completed, the customer has a 24-hour window to confirm or object; if

confirmed, or if no objection is raised within that window, the amount

is automatically released, Antalion deducts its commission and pays the

remaining amount to the driver. If the customer objects, Antalion

reviews the case and decides. A refund may be issued to the customer if

the issue was caused by the driver.


3. Cancellation and Changes

The customer may cancel a request free of charge up to 48 hours or

more before the transfer time; if payment has already been made (and

not yet released from the pool), it is refunded in full. Cancellations

made less than 48 hours before the transfer are not eligible for a

refund. In cases of driver-caused delay or cancellation, the platform

may impose penalties on the driver concerned; this does not affect the

service relationship between the customer and the driver.


4. Liability

In the event of disputes arising during transport, the platform

provides support to help the parties reach an agreement; however, the

driver is responsible for the actual performance of the transport

service, and the customer is responsible for making payment.


5. Term

This agreement takes effect for a given transfer once the customer

accepts an offer, and ends when that transfer is completed or

cancelled.


6. Distance-Contract / Right-of-Withdrawal Exception

This agreement is a distance contract for the purposes of applicable

consumer-protection law. However, contracts for transport services to

be performed on a specific date or within a specific period are among

the recognised exceptions to statutory rights of withdrawal for

distance contracts; accordingly, no separate "right of withdrawal"

applies to the transfer service — cancellation and refund rights are

governed solely by the rules described in Section 3 above.


7. Intellectual Property

The Antalion brand, logo, website and platform software belong to

Antalion; they may not be copied, reproduced or used for commercial

purposes without prior written permission.


8. Limitation of Liability

Antalion's liability arising from this agreement is limited to the

commission amount collected for the transfer in question. Antalion is

not liable for the actual performance of the transport service, for

indirect damages, loss of profit, or for failure to achieve an

expected saving.


9. Force Majeure

Neither party is liable for failure to perform its obligations due to

circumstances beyond its reasonable control, such as natural disaster,

epidemic, war, act of terrorism, strike, or decisions of public

authorities; in such cases the request may be cancelled by mutual

agreement and any payment made is refunded.


10. Governing Law and Dispute Resolution

This agreement is governed by the laws of the Republic of Türkiye;

the courts and enforcement offices of Antalya, Türkiye have

jurisdiction over any dispute. Consumers resident in the European

Union may, if they wish, also use the European Commission's Online

Dispute Resolution platform (ec.europa.eu/consumers/odr).


11. Severability

If any provision of this agreement is held invalid, that does not

affect the validity of the remaining provisions.
